Acceptance of Terms By accessing or using Noah Predict, you agree to be bound by these Terms of Business. If you do not accept these terms you may not access or use the service. Where you access the service on behalf of an organisation, you warrant that you have authority to bind that organisation to these terms. ## 2. Nature of the Service Noah Predict is a predictive risk intelligence service. It analyses public and licensed information at scale to produce structured, probabilistic assessments of political, maritime, kidnap-and-ransom, terrorism, civil-unrest and sovereign risk. All output is supplied for professional analytical consideration only, accompanied by source references, model rationale and confidence indicators to support professional judgment. Noah Predict does not provide regulated financial, insurance, investment, legal or medical advice. It is not a substitute for underwriting, broking, compliance or risk-management expertise. ## 3. Professional Responsibility and Use of Output Users acknowledge that: - Noah Predict output is a decision-support tool and requires competent human review before it is relied upon for underwriting, pricing, reinsurance, broking, investment, security or operational decisions. - Output is not a binding forecast, recommendation or statement of fact. It expresses probabilistic signals and confidence bands. - Final accuracy, interpretation, application and legality of decisions rest with the user or the organisation that the user represents. - Research notes, caveats, confidence indicators and methodology references form part of the output and must be considered. Failure to consider these materials may materially affect decision quality. - This Agreement does not transfer professional, regulatory or fiduciary liability to Worldwide AI Media Ltd. ## 4. Intellectual Property Rights Worldwide AI Media Ltd retains all intellectual property rights in the Noah Predict platform, models, methodology, interfaces and underlying technology. No rights are transferred to customers except as expressly stated in these terms or in a separate written agreement. ## 5. Customer Data and Output Rights ### 5.1 Customer Inputs You retain ownership of the inputs you submit to Noah Predict. You grant Worldwide AI Media Ltd a non-exclusive, worldwide, royalty-free licence to use those inputs solely to provide the service, operate and secure the platform, and — in aggregated or de-identified form — to improve model quality. We will not use your inputs to train third-party models without your written agreement. ### 5.2 Output Rights Subject to your compliance with these terms, you receive a non-exclusive, worldwide licence to use, copy, distribute internally and incorporate Noah Predict output into your own internal analysis, underwriting files, risk registers, treaty documentation or equivalent business records. External redistribution or resale of raw output is not permitted without separate written licence. ### 5.3 Source Transparency Where Noah Predict references third-party material, links or citations are provided for verification only. You must not republish third-party source material without separate licence or legal permission. ## 6. Prohibited Uses You must not use Noah Predict: - For any unlawful purpose or in breach of applicable sanctions, export-control or anti-money-laundering law. - To infringe the rights of any third party, including intellectual property, privacy or data-protection rights. - To generate output intended to mislead, defame or harass any person or organisation. - To make automated consequential decisions about individuals (such as insurance pricing for named natural persons) without appropriate human review and, where applicable, the safeguards required by UK GDPR Article 22 and equivalent law. - To interfere with the security, availability or integrity of the service, including by introducing malicious code, circumventing rate limits, scraping at scale or reverse-engineering the platform. - To redistribute, sublicense, resell or white-label the service without express written agreement. ## 7. Beta, Free and Experimental Features Features labelled "beta", "free tier", "experimental" or "Noah Labs" are provided on an as-is, as-available basis. They may be changed, withdrawn or made subject to payment at any time. Output from experimental features is explicitly pre-release and should not be used for regulated, contractual or consequential decisions without independent validation. ## 8. Third-Party Links and Integrations Noah Predict may reference or integrate with third-party sources, services or systems. Worldwide AI Media Ltd assumes no responsibility for the availability, accuracy or lawfulness of third-party content and is not liable for any loss arising from your reliance on it. ## 9. Fees, Trials and Cancellation Subscription fees, trial terms and billing cycles are set out in your order form or on the pricing page at the time of purchase. Fees are payable in advance and are non-refundable except where required by law. Free-trial and beta access may be withdrawn at any time. You may cancel a subscription in line with the terms of your order form; cancellation takes effect at the end of the then-current billing period. ## 10. Data and Backup Responsibility Customers must maintain their own backups of any output they wish to retain. Worldwide AI Media Ltd makes no guarantee regarding long-term retention or restoration of customer workspace data beyond the retention period set out in the Privacy Policy and SLA. ## 11. Warranties and Disclaimers Noah Predict is provided on an as-is, as-available basis. To the maximum extent permitted by law, Worldwide AI Media Ltd disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. No warranty is made that output is accurate, complete, error-free or will produce any particular outcome. Predictive output is inherently probabilistic. ## 12. Limitation of Liability To the maximum extent permitted by law, Worldwide AI Media Ltd is not liable for indirect, incidental, consequential, reputational, regulatory or punitive damages, loss of profit, loss of business, loss of goodwill, or losses arising from reliance on predictive output. Our aggregate liability under or in connection with these terms shall not exceed the fees paid by the customer to Worldwide AI Media Ltd in the twelve months preceding the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or fraud. ## 13. Indemnity You will indemnify and hold Worldwide AI Media Ltd harmless from any third-party claim arising from your use of the service in breach of these terms, including unauthorised redistribution of output, use for prohibited purposes, or decisions taken in reliance on output without appropriate human review. ## 14. Confidentiality Each party will protect the other's confidential information with the same degree of care it uses for its own, and in any event no less than a reasonable standard. Confidential information includes customer inputs, platform non-public features, methodology detail and commercial terms. ## 15. Suspension and Termination We may suspend or terminate your access where you materially breach these terms, where continued access would expose us or other users to legal, regulatory or security risk, or where required by law. On termination your right to use the service ends; clauses intended to survive termination (including IP, liability, indemnity, confidentiality and governing law) continue in force. ## 16. Changes to Terms We may update these terms from time to time. Material changes will be notified by email or in-product notice at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the revised terms. ## 17. Governing Law This Agreement is governed by the laws of California, with mandatory statutory protections from England, Wales and the European Union applying where they cannot lawfully be excluded. ## 18. Jurisdiction The courts of California have primary jurisdiction over any dispute arising out of or in connection with this Agreement. The courts of England and Wales have non-exclusive jurisdiction for claims arising in the United Kingdom or European Union. Judgments may be enforced in any competent jurisdiction. ## 19. UK and EU Regulatory Position This Agreement does not make Worldwide AI Media Ltd a publisher under UK defamation law, an authorised person under the Financial Services and Markets Act 2000, an insurance intermediary, a credit-rating agency, or an ESG-ratings provider. The service is an informational decision-support tool. Customers remain solely responsible for compliance with applicable financial-services, insurance, sanctions, competition and data-protection law. ## 20. Severability If any provision of these terms is held unenforceable, the remaining provisions continue in force. ## 21. Entire Agreement These Terms of Business, together with the Privacy Policy, Service Level Agreement, Acceptable Use Policy and any order form or written agreement signed between the parties, constitute the entire agreement between you and Worldwide AI Media Ltd regarding Noah Predict and supersede any prior understanding. ## 22.
